1. Acceptance of Terms

By accessing or using SoundWell (the "Service", "we", "us", or "our"), accessible at vibestudio.pages.dev, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree to all terms and conditions herein, you must immediately discontinue use of the website and services.

2. Description of the Service & Local Processing

SoundWell provides browser-based digital audio signal processing tools designed for pitch shifting, speed alteration, convolution reverberation, and audio trimming.

All audio modification operations run client-side on your device via the standard Web Audio API. SoundWell operates as a local utility tool; we do not host, store, catalog, broadcast, or transmit the audio files you process.

3. User Audio Rights & Copyright Compliance

You retain 100% of all intellectual property rights, ownership, and copyright in the audio files that you load into SoundWell. SoundWell claims zero ownership or licensing rights over your source audio or exported output files.

User Responsibility: Because SoundWell is a client-side DSP tool, you are solely and exclusively responsible for ensuring that you have all legal rights, copyrights, synchronization licenses, or fair use permissions to process, alter, or export any copyrighted songs, master recordings, or audio files you load into the tool.

You agree not to use SoundWell to infringe upon the intellectual property rights of any musician, recording artist, record label, publisher, or third party. For further legal notices, please review our Disclaimer.

4. Free Tier & Creator Pro Subscriptions

A. Free Plan

The free tier is available without registration and provides core slowed + reverb controls for up to 4 tracks per calendar day, with a maximum track duration of 4:00 minutes each. Free usage limits reset automatically at local midnight.

B. Creator Pro Subscription

Upgrading to Creator Pro removes the 4-track daily limit and duration cap, unlocks 18 Fine Tune controls, 9 Pro ambience presets, the timeline multi-section cut editor, and Higher Quality Export (48 kHz / 24-bit WAV & 320 kbps MP3).

• Base Price: ₹149 per month (inclusive of applicable taxes).
• Billing Frequency: Billed monthly on a recurring basis via Razorpay.
• Progressive Loyalty Pricing: For each consecutive monthly billing cycle maintained without cancellation, your monthly subscription fee drops incrementally (from ₹149 down to a permanent floor of ₹50/month across 11 tiers). If your subscription lapses or is cancelled, resubscribing starts fresh at the base ₹149/month tier.
• Auto-Renewal: Subscriptions automatically renew each month unless cancelled prior to the renewal date.

5. Cancellation & Refund Policy

A. Self-Service Cancellation

You may cancel your Creator Pro subscription at any time without fees or penalties. You can cancel directly through your account menu by navigating to Manage Subscription and clicking "Cancel subscription", or through the management link included on your Razorpay billing receipts.

Upon cancellation, your Pro features remain fully accessible through the end of your current paid billing period (current_period_end). No further charges will be billed to your payment method.

B. Refund Policy

Because SoundWell provides immediate digital access to software capabilities and audio rendering, and because all prospective subscribers have full access to evaluate the audio engine on the Free plan prior to purchase, payments for completed billing periods are generally non-refundable.

• Accidental Duplicate Charges: If an automated billing glitch results in duplicate charges for the same billing cycle, the duplicate amount will be refunded in full upon verification.
• Technical Activation Failure: If payment was successfully captured by Razorpay but our server failed to activate your Creator Pro access and the issue cannot be resolved within 48 hours of reporting, a full refund of the current cycle fee will be issued.
• Refund Requests: To request a review of a disputed charge, submit a request via the Contact Form (Direct email: Not yet provided) with your account email and Razorpay payment ID within 14 days of the transaction.

6. Acceptable Use and Prohibited Conduct

You agree not to use the Service to:

• Bypass, disable, or tamper with daily track usage limit verification or subscription gatekeeping APIs;
• Deploy automated crawlers, scrapers, bot scripts, or denial-of-service floods against our API endpoints;
• Attempt to extract API keys or access unauthorized administrative routes;
• Use the website in any manner that violates applicable local, state, national, or international laws.

7. Disclaimers of Warranties ("As-Is")

SOUNDWELL AND ITS UNDERLYING AUDIO PROCESSING ENGINES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Because audio decoding and synthesis execute within your local web browser, performance is contingent upon your device's hardware specifications, available system memory, and browser Web Audio API implementation. We do not warrant that audio processing will be uninterrupted, error-free, or compatible with obsolete browser versions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDWELL, ITS OPERATORS, DIRECTORS, DEVELOPERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF AUDIO DATA, LOSS OF GOODWILL, COPYRIGHT INFRINGEMENT ACTIONS ARISING FROM USER CONTENT, OR SYSTEM INCOMPATIBILITIES.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO SOUNDWELL IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR ₹500 INR, WHICHEVER IS GREATER.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts having jurisdiction over the operator's registered office.

10. Modifications and Inquiries

We reserve the right to modify these Terms at any time. When updates are published, the revised date at the top of this document will be updated. Continued use of SoundWell following the posting of revised Terms constitutes acceptance.
